Terms of Service Agreement

1. ACCEPTANCE OF TERMS

By purchasing a Team Build License or participating in any joe.business program, you agree to these Terms of Service. If you do not agree to these terms, do not use our services.

Global Builders and Supply ("Company," "we," "us," or "our") operates joe.business and medclubpro.joe.solutions, providing team building licenses, tools, and membership services.

2. SERVICES OFFERED

2.1 Team Build License (joe.business)

• Basic License: €100 one-time fee for access to team building tools, website, AI assistance, books, courses, community access, and recruitment rights
• Pro License: €500 one-time fee including all Basic features plus app maker, book maker, pro tools, product discounts, and premium opportunities

2.2 MedClub Pro Membership

Separate Platform: medclubpro.joe.solutions

• Monthly Service: €100/month for ongoing coaching, team dashboards, legal assistance, AI help, project support, and community membership
• Note: MedClub Pro operates as a separate service with its own terms and payment processing

2.3 Earnings Structure

• Basic License: Earn €200 rebate for every 3 confirmed recruits
• Pro License: Earn €2,000 rebate for every 5 confirmed recruits
• MedClub Pro: Leaders collect €500 per 5 members + €500 bonus after 25 members become leaders
• All earnings subject to transaction fees and verification requirements

3. PAYMENT TERMS

3.1 License Fees

• All license fees are one-time payments due in full upon registration
• No refunds after license activation and tool access is granted
• All prices listed in Euros (€) and subject to current exchange rates

3.2 MedClub Pro Membership

• Monthly fees charged automatically on the same date each month
• 30-day notice required for cancellation
• No refunds for partial months

3.3 Transaction Fees

• All earnings subject to payment processing fees (typically 3-5%)
• Currency conversion fees may apply for international transactions
• Company reserves the right to adjust fee structure with 30-day notice

4. ELIGIBILITY AND REQUIREMENTS

4.1 Age and Legal Capacity

• Must be 18 years or older
• Must have legal capacity to enter contracts in your jurisdiction
• Business licenses may require additional local registrations

4.2 Prohibited Activities

• No spam, unsolicited communications, or deceptive marketing practices
• No false income claims or misleading recruitment statements
• No use of company trademarks without written permission
• Compliance with all applicable local, state, and federal laws required

5. RECRUITMENT AND EARNINGS

5.1 Recruitment Requirements

• New recruits must complete full registration and payment
• Recruits must remain active for minimum 30 days to qualify for rebates
• Maximum 3 recruitment attempts per individual prospect
• No recruitment of minors under 18 years of age

5.2 Earnings Verification

• All earnings subject to verification of recruit activity and payment
• Rebates processed within 30-45 days of qualification requirements being met
• Company reserves right to investigate and withhold payments for suspicious activity
• False recruiting claims may result in account termination and forfeiture of earnings

5.3 Tax Responsibilities

• All earnings are considered business income subject to applicable taxes
• Recipients responsible for proper tax reporting and payment
• Company will provide necessary tax documentation upon request

6. INTELLECTUAL PROPERTY

6.1 License Grant

• Limited, non-exclusive license to use provided tools and materials
• License terminates upon breach of terms or voluntary withdrawal
• No right to modify, redistribute, or sublicense company materials

6.2 User Content

• Users retain ownership of original content they create
• Company granted perpetual license to use testimonials and success stories
• Users warrant they have rights to all submitted content

6.3 Trademarks

• joe.business, Global Builders and Supply, and related marks are company property
• No use of company trademarks in domain names or business names without permission
• Violation may result in immediate termination and legal action

7. DISCLAIMERS AND LIMITATIONS

7.2 Business Risk

• All business activities involve risk of loss
• Company not responsible for business expenses, losses, or failures
• Users advised to consult financial and legal professionals before participation

7.3 Tool Availability

• Tools and services provided "as is" without warranties
• Company not liable for tool downtime, data loss, or technical issues
• Software may have bugs or limitations beyond company control

8. LIMITATION OF LIABILITY

Company not liable for:

• Lost profits, business opportunities, or consequential damages
• Actions of other users or third parties
• Technical failures, data breaches, or service interruptions
• Changes in laws, regulations, or market conditions

9. TERMINATION

9.1 Voluntary Termination

• Users may terminate participation with written notice
• No refunds for unused portions of licenses or memberships
• Access to tools and materials terminates immediately

9.2 Company Termination Rights

Company may terminate user accounts for:

• Violation of terms of service
• Fraudulent activity or false information
• Violation of applicable laws or regulations
• Failure to pay required fees

10. GOVERNING LAW

These terms governed by Florida State Law without regard to conflict of law principles. Any disputes subject to exclusive jurisdiction of courts in Jacksonville, Florida.

11. DISPUTE RESOLUTION

11.1 Mandatory Arbitration

All disputes must be resolved through binding arbitration under American Arbitration Association rules. No class action lawsuits permitted.

11.2 30-Day Resolution Period

Before arbitration, parties must attempt good faith resolution for 30 days through direct negotiation.
